1. Acceptance of terms

These terms of service ("Terms") govern your access to and use of the website adesion.it.com and the Adesion workflow intelligence product (together, the "Service"), provided by Adesion Technologies S.r.l., a company registered in Milan, Italy ("Adesion", "we", "us"). By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organisation you represent.

2. The service

Adesion connects to third-party tools you authorise, using read-only access, in order to reconstruct cross-tool case timelines and calculate handoff and bottleneck metrics. Adesion does not write data back to any connected third-party tool.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@adesion.it.com if you suspect unauthorised access.

4. Subscriptions, fees and trials

Paid plans are billed monthly or annually in advance, as selected at signup. Free trials run for 14 days unless otherwise agreed in writing; no payment method is required to start a trial, and access ends automatically unless you subscribe to a paid plan. Fees are non-refundable except where required by law or expressly stated in an order form. We may change our published pricing for future billing periods with at least 30 days' notice to existing customers.

5. Acceptable use

You agree not to: (a) reverse engineer or attempt to extract the source code of the Service; (b) use the Service to store or process unlawful content; (c) attempt to gain unauthorised access to any part of the Service or its underlying infrastructure; (d) resell or sublicense access to the Service without our written consent; or (e) use the Service in a way that violates applicable data protection law with respect to data you connect to it.

6. Customer data

As between you and Adesion, you retain all rights to the data from your connected tools that is processed by the Service ("Customer Data"). You grant us a licence to process Customer Data solely to provide and improve the Service, in accordance with our privacy policy. Upon termination, Customer Data remains available for export for 30 days before deletion, as described in our privacy policy.

7. Intellectual property

Adesion and its licensors retain all right, title, and interest in the Service, including all software, designs, and trademarks. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as set out here.

8. Warranties and disclaimers

We warrant that the Service will materially conform to its published documentation. Except as expressly stated, the Service is provided "as is" without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law. Nothing in this section limits any statutory rights you may have as a consumer that cannot be excluded under Italian or EU law.

9. Limitation of liability

To the maximum extent permitted by law, Adesion's total liability arising out of or related to these Terms shall not exceed the fees paid by you for the Service in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

10. Termination

Either party may terminate a subscription at the end of its then-current billing period by giving notice. We may suspend or terminate access immediately if you materially breach these Terms and fail to cure the breach within 15 days of notice, or immediately in cases of security risk or unlawful use.

11. Governing law

These Terms are governed by the laws of Italy. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Milan, Italy, save where mandatory consumer protection law provides otherwise.

12. Changes to these terms

We may update these Terms from time to time. For material changes, we will provide at least 15 days' notice to registered users by email before the change takes effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
